CONFIDENTIALITY & NON-CIRCUMVENTION
Three protections operate mechanically, before any legal remedy is needed: (i) symmetric disclosure — neither party’s information is ever shown one-sided; packets are escrowed and released simultaneously, level by level, only under an accepted, hash-anchored NCNDA; (ii) the contact firewall — contact details posted in a deal room before full disclosure are redacted at write time and logged; (iii) the provenance ledger — every introduction and entitlement is permanently recorded, so an introducer’s economics cannot be erased by exclusion from a conversation.
Every deal room operates under masked identities. Counterparties appear as aliases until each participant has accepted the room’s non-circumvention and confidentiality instrument — an acceptance recorded immutably with a cryptographic hash of the exact text agreed. The unmasking control is enforced by the platform’s database itself: disclosure is technically impossible before acceptance is on record, and every disclosure is written as a permanent event.
- No circumvention. Members shall not bypass, or attempt to bypass, the introducing parties or the platform in any transaction whose parties were revealed to them through GECAN.
- No disclosure. Deal-room information — identities, terms, documents, procedures — is confidential and may not be shared outside the room.
- Ledgered introductions. Every introduction is permanently recorded; commission entitlements arising from it are ledgered and instrument-linked, so honest work is provable and protected.
- Reporting. Suspected circumvention may be reported in-platform; confirmed findings become part of the offender’s permanent record and are actionable under the accepted instruments.
- Survival. Confidentiality and non-circumvention obligations survive the closing, collapse, or withdrawal of any deal, per the accepted instrument’s term.
